Information on application of Best Practice for GPW Listed Companies 2021

Erste Bank Polska S.A. (Bank) hereby informs that the Bank’s General Meeting, Management Board and Supervisory Board passed relevant resolutions on adopting Best Practice for GPW Listed Companies 2021 issued by the Warsaw Stock Exchange by force of its Supervisory Board resolution no. 13/1834/2021 of 29 March 2021.

ESG Report

Erste Bank Polska's ESG reports comprehensively present the impact of our organization on environmental, social and management issues. They are consistent with the requirements of the European Commission regarding the disclosure of non-financial information related to climate impact, the UNEP FI principles - Principles for Responsible Banking and selected Sustainable Development Goals identified as strategic for the bank. The reports also include indicators defined by the "ESG Reporting Guidelines - Guide for companies listed on the Warsaw Stock Exchange", as well as presenting their own internal performance indicators. The latest editions of the ESG Report used the latest version of the international Global Reporting Initiative (GRI) standard.

Diversity Policies / Gender balance

Erste Bank Polska promotes a work environment where diversity is respected, valued and used as an asset. A diverse workforce is our competitive advantage, enabling us to achieve our business and strategic goals and to attract and retain talent.

We aim to build an inclusive and diverse work environment. We are committed to gender balance in leadership and board positions and to closing the pay gap between men and women. Our activities also focus on supporting and promoting the employment of people with disabilities.

The Bank Group's general principles on Diversity and Inclusion are governed by individual policies that:

  • indicate the specific objectives of the diversity policy applied and the ways in which they are to be achieved;
  • also apply directly to the Bank's management team, i.e. the Management Board, Supervisory Board and key managers;
  • take into account all existing sources of diversity, both visible (gender, race, age, disability, etc.) and invisible (work and life experience, education, religion, values and beliefs, invisible disability, sexual orientation, personality, etc.).

These general principles are based on the Bank Group's conviction that managing in line with the concept of Diversity and Inclusion underpins the Bank Group's cultural transformation, strategic vision and mission and values. The principles are also included in the Responsible Banking Strategy.

The above figures have been prepared as at 31.12.2023. As of 18 August 2026 they apply to the Bank’s Management Board and Supervisory Board. The length of service in the Bank's governing bodies is counted from the date of the first appointment to the Supervisory Board or the Management Board.

 

Information concerning the presence of women in board of directors in Erste Bank Polska S.A.

Erste Bank Polska S.A. makes every effort to ensure a balanced share of males and females in the managerial cadre. As of 20 April 2026, three women are in Supervisory Board, in Management Board – one.

The current composition of the Management Board results from organizational changes unrelated to gender diversity criteria. Any further changes to the composition of the Management Board will be carried out with due consideration given to diversity criteria. The Bank will seek to increase the representation of women, while taking into account organizational circumstances and the availability of female and male candidates who meet the required criteria.

Gender balance in the bank’s goverining bodies

In performance of the obligation arising from Article 90gd(4) of the Act on public offering, conditions governing the introduction of financial instruments to organised trading, and on public companies (Act), The Bank hereby informs you that the matters related to gender balance in the governing bodies of the companies are regulated by Section 4aa of the Act which states among other that:

  • throughout the entire process of selecting candidates to specific directorships in the company’s governing bodies, clear, neutrally formulated and unambiguous criteria should be applied in a non-discriminatory manner, taking into account of the candidates’ qualifications and the need to ensure gender balance;
  • the selection should be established before the process commencement;
  • candidates for the directorships in the company’s governing bodies are selected based on the comparative assessment of each candidate;
  • when choosing between equally qualified candidates for a specific directorship in the company’s governing body, the priority is given to the candidate of the underrepresented gender unless in exceptional cases the selection of the candidate of the other gender is justified by other vital diversity rules defined in legal regulations, based on objective and non-discriminatory criteria which take into account the candidate’s particular circumstances;
  • at the request of a candidate for a directorship, the company provides the candidate, in writing or in electronic form, with information on the criteria applied in the process of selecting a person for the relevant position, the comparative assessment and its justification, and, where a candidate belonging to the underrepresented gender was not selected, about the reasons for that decision as well as the qualifications of the candidate selected for that directorship;
  • the nearest general meeting should adopt a policy on gender balance, unless the rules for ensuring the gender balance on the company’s governing bodies have been included in other regulations adopted by the company.

Additionally, the Act states that each year the company produces a report on the gender representation in its governing bodies and measures taken to ensure the gender balance. Immediately after producing the report it is published at the company’s website. The first report will be produced and published by 31 October 2026.

Information about sanctions

The Bank also informs you that in accordance with Article 96e(2) of the Act, the Financial Supervision Authority may fine the company up to PLN 500,000 for non-performance or improper performance of obligations related to:

  • application of rules of selecting candidates to the Bank’s governing bodies specified in Article 90ge of the Act;
  • producing a report on the gender representation in its governing bodies and measures taken to ensure the gender balance in these bodies referred to in Article 90ge(1) of the Act.
